Terms & Conditions

1. Introduction and Acceptance

These Terms of Service (“Terms”) form a binding agreement between Engineer 42 Ltd. (“Engineer 42”, “we”, “us” or “our”) and the person or entity that creates an Engineer 42 account (“Customer”, “you” or “your”). By creating an account, accessing engineer42.io or any sub-domain (the “Site”) or by using our platform, APIs, or any related mobile or desktop application (together, the “Services”), you confirm that you have read, understood and agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company; if you do not, or if you disagree with any part of the Terms, do not use the Services.

You must be at least 18 years old to use the Services.

2. Definitions (plain-English)

  • Platform – the hosted software, APIs and tools we operate.

  • Content – anything we display or provide through the Services.

  • User Content – anything you or your authorised users upload or create in the Services.

  • Beta Features – experimental functions we label “beta”, “preview”, “pilot” or similar.

3. Licence and Use

3.1 Your licence. We grant you a non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes, subject to these Terms.

3.2 Restrictions. You agree not to (a) reverse-engineer or copy the Services, (b) use them to build a competing product, (c) interfere with their security or operation, (d) transmit malware or unlawful material, or (e) resell or sublicense them without our written consent.

3.3 Beta Features. Beta Features are provided “as-is”, may change or disappear at any time, and are used at your own risk.

4. Accounts and Security

You are responsible for all activity that occurs under your account. Keep your login credentials secure and notify us immediately if you believe your account has been compromised. We are not liable for losses caused by unauthorised use of your account.

5. Fees and Payment

Most of the Services are currently offered free of charge during our early-access phase. If we introduce paid plans we will give you advance notice and the option to accept the new pricing or stop using the Services. All fees, if applicable, will be payable in pounds sterling (GBP) and are non-refundable unless required by law.

6. Intellectual Property

6.1 Ours. Engineer 42 and its licensors retain all rights, title and interest in and to the Services and Content.

6.2 Yours. You retain all rights to User Content. You grant us a worldwide licence to host, back-up, process and display your User Content solely to operate and improve the Services and as otherwise permitted by our Privacy Policy.

6.3 Feedback. If you provide suggestions or feedback, you grant us a perpetual, royalty-free right to use them without obligation to you.

7. Confidentiality

If we share non-public information about the Services you must keep it confidential and use it only for your own use of the Services. This clause does not apply to information that becomes public through no fault of yours or that you rightfully receive from someone else.

8. Privacy

Our collection and use of personal data is governed by the Engineer 42 Privacy Policy, incorporated into these Terms by reference.

9. Availability, Disclaimer and Warranties

9.1 Availability. We aim for high uptime but the Services may be unavailable from time to time for maintenance, upgrades or reasons beyond our control.

9.2 Disclaimer. The Services and all Content are provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. The Services are for information and collaboration only and do not constitute engineering advice.

10. Liability

10.1 Limitation. Engineer 42’s total liability arising out of or in connection with the Services will not exceed £100 or, if you have paid fees, the amount you paid to us in the three months before the event giving rise to the claim.

10.2 Exclusion. We are not liable for any indirect, consequential, special or punitive damages, or for loss of profits, data, business or goodwill.

Nothing in these Terms limits liability that cannot legally be limited, such as for death or personal injury caused by negligence or for fraud.

11. Indemnity

You will indemnify and hold harmless Engineer 42 from and against any claim arising from your breach of these Terms or your misuse of the Services.

12. Term and Termination

These Terms start when you first use the Services and continue until terminated. You may stop using the Services at any time. We may suspend or terminate the Services or your account (a) with 30 days’ notice for any reason, or (b) immediately if you materially breach these Terms. Upon termination your right to use the Services ends and you must delete any Content or data derived solely from the Services that is not your own User Content.

13. Changes to the Terms

We may update these Terms from time to time. We will post the revised version and, if the changes are material, notify you by email or in-product message. Continued use of the Services after the effective date constitutes acceptance of the new Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with them, except that we may seek injunctive relief in any jurisdiction.

15. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Engineer 42 regarding the Services.

  • Severability. If any part of these Terms is held unenforceable, the rest remains in force.

  • Assignment. You may not assign these Terms without our consent. We may transfer our rights and obligations to an affiliate or in connection with a merger or sale of assets.

  • Waiver. A failure to enforce a provision is not a waiver of our right to do so later.

By continuing to use Engineer 42 after 15 July 2025 you agree to these Terms.
